- Scope of Services
The Three Marketers Inc. (“T3M”) provides digital marketing services including, but not limited to, search engine optimization (SEO), paid advertising management, and related services as outlined in a written agreement or proposal with the client.
Any services not explicitly included in the agreed proposal are considered out of scope and may be subject to additional fees.
- Term and Renewal
This agreement operates on a month-to-month basis unless otherwise specified.
The agreement will automatically renew unless terminated by either party with 30 days’ written notice provided by email or other written communication.
T3M reserves the right to modify pricing or service offerings with 30 days’ written notice.
- Payment Terms
A signed proposal and a 50% upfront payment are required to initiate services. This payment is non-refundable.
The remaining balance for initial services is due within 30 days of the service start date.
Ongoing services are billed monthly in advance unless otherwise agreed in writing.
Late payments may be subject to interest at a rate of 2% per month (24% annually) or the maximum permitted by law.
SEO Services
Monthly SEO services are billed on a monthly basis, unless otherwise agreed in writing. Clients may choose to prepay for multiple months (e.g., 3, 6, 12 months).
Ad Management Services (PPC)
Advertising accounts may be billed either directly to the client or through The Three Marketers Inc. (“T3M”), depending on the agreed setup.
If the client’s payment method is used:
The client is billed directly by the advertising platform in accordance with its billing schedule and remains fully responsible for maintaining valid payment methods and sufficient funds for advertising spend.
If T3M’s payment method is used:
Advertising costs are incurred by T3M on behalf of the client and rebilled based on actual platform charges (including clicks and related fees). A deposit equal to two months’ ad budget is required prior to campaign launch and will be applied toward future advertising spend. T3M reserves the right to pause campaigns if the deposit is depleted or if invoices remain unpaid.
In all cases:
- A setup fee applies and must be paid prior to campaign launch.
- Advertising setup and ad spend are non-refundable.
- Management fees are billed monthly in accordance with the agreed fee structure.
- The client and T3M will agree in writing on a maximum ad budget prior to campaign launch. Any changes must be approved in writing by the client before implementation.
- T3M will manage campaigns within the agreed budget; however, advertising platforms (including Google, Meta, and others) may adjust daily spend and billing, which can result in minor variances (approximately 3–5%) from the agreed budget. These variances are normal and accepted by the client.
- Third-Party Platforms
T3M may use third-party platforms (including but not limited to Google, Meta, and others) to deliver services.
T3M does not own or control these platforms and is not responsible for their policies, billing practices, algorithm changes, account suspensions, or performance.
The client remains solely responsible for all costs, charges, and obligations related to third-party platforms.
- Suspension of Services
Failure to pay within 30 days of invoicing will result in immediate suspension of all services and access, without further notice.
T3M is not obligated to resume services until all outstanding amounts are paid in full.
T3M is not responsible for any performance impact, loss of data, or campaign disruption resulting from service suspension due to non-payment.
- Access to Accounts and Data
T3M manages access and permissions to accounts as part of its services.
In the event of non-payment, T3M is not obligated to process access requests, ownership transfers, or administrative changes until all outstanding invoices have been paid in full.
All requests related to account access or changes must be submitted in writing.
T3M is not responsible for delays or limitations in access resulting from the suspension of services due to non-payment.
- Reporting & Data Retention
T3M provides monthly reports summarizing campaign performance and results.
The client is responsible for reviewing, downloading, and retaining copies of all reports for their records.
Reports and related data are stored by T3M for a period of up to three (3) months. After this period, T3M reserves the right to delete such records without further notice.
- Client Responsibilities
The client agrees to provide accurate information, respond in a timely manner, and approve work when required.
T3M is not responsible for delays caused by lack of client response.
The client is responsible for accepting account access or ownership invitations in a timely manner.
The client confirms that all content provided (including text, images, videos, and logos) is owned by the client or properly licensed. The client agrees to indemnify and hold T3M harmless from any claims arising from the use of such materials or from the client’s business activities.
- Website Modifications & Compliance
Clients must notify T3M of any website changes.
T3M is not responsible for ranking drops, traffic loss, or penalties caused by client actions, third parties, or non-compliance with platform guidelines.
While T3M takes reasonable care when implementing changes, T3M is not responsible for website downtime, errors, or data loss resulting from updates or optimizations, especially where hosting, plugins, themes, or third-party systems are involved.
Significant changes to the website, including but not limited to increases in page count, structural changes, redesigns, or content additions, may require additional work and may result in adjustments to service scope and fees. Any such changes will be communicated and agreed upon in writing.
T3M does not provide legal, financial, or regulatory advice. The client is responsible for ensuring compliance with applicable laws.
- Cancellation Policy
Clients may cancel with 30 days’ written notice.
Each started month is due in full. Setup fees are non-refundable.
Data may be deleted after 30 days if not retrieved.
- Intellectual Property
All work produced by T3M remains the property of T3M until full payment has been received.
Upon full payment, ownership of final deliverables is transferred to the client, excluding any proprietary tools, templates, or processes used by T3M.
- Acceptance of Services and Invoices
Services are deemed accepted unless disputed in writing within 10 business days.
- Confidentiality
All client information is confidential and must not be shared without consent.
- No Guarantee of Results
T3M does not guarantee specific results, including but not limited to rankings, traffic, leads, sales, or return on investment.
Marketing performance depends on multiple factors outside of T3M’s control, including market conditions, competition, client actions, website quality, and third-party platform behaviour.
- Limitation of Liability
T3M is not liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, loss of profits, loss of business opportunities, or business interruption.
Total liability shall not exceed the total amount paid by the client for services.
- Collections and Enforcement
T3M may pursue collections, engage third-party agencies, and recover all reasonable costs associated with collection, including legal fees, court costs, and collection agency fees.
- Force Majeure
T3M is not responsible for delays or failures due to events beyond its control.
- Governing Law
This agreement is governed by the laws of Alberta, Canada.
- Communication
All requests, approvals, and changes (including budgets, cancellations, and access) must be made in writing to be valid.
- Acceptance of Terms
Continued use of services constitutes acceptance of these Terms and Conditions.
